1. Acceptance of Terms

1.1 Agreement to Terms

⚠️ IMPORTANT: BY REGISTERING FOR, ACCESSING, OR USING UTILITY SERVER SERVICES, YOU AUTOMATICALLY AND UNCONDITIONALLY AGREE TO:

Your use of the Services constitutes your acceptance of all these documents. If you do not agree, you must not use our Services.


By accessing, registering for, or using any Utility Server services (“Services”), including SPIDER, RHINO, MARLIN, and associated tools, you (“Customer,” “User,” or “you”) agree to be bound by these Terms and Conditions (“Terms,” “Agreement”).

Utility Server is a product of DNS Stack Private Limited, a company incorporated in India (CIN: U62099UP2025PTC223463). References to “Utility Server,” “we,” “us,” or “our” in these Terms refer to DNS Stack Private Limited operating the Utility Server brand and services.

Subsidiary: Techtonic Systems Media and Research LLC (https://techtonic.systems) is a subsidiary of DNS Stack Private Limited.

If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

1.2 Age Requirement

You must be at least 18 years of age or the age of majority in your jurisdiction to use our Services. By using our Services, you represent and warrant that you meet this age requirement.

1.3 Modifications to Terms

Utility Server reserves the right to modify these Terms at any time. We will provide notice of material changes via email or through the Services. Continued use of the Services after such modifications constitutes acceptance of the updated Terms. It is your responsibility to review these Terms periodically.

2. Definitions

For purposes of this Agreement:

“Services” means all products and services provided by DNS Stack Private Limited under the Utility Server brand, including but not limited to SPIDER (prerendering service), RHINO (edge caching service), MARLIN (image optimization and CDN service), Utility Client (command-line tool), and associated APIs, documentation, and support.

“Content” means any data, text, images, videos, software, or other materials uploaded, transmitted, or processed through the Services.

“User Content” means Content that you submit, upload, or make available through the Services.

“Account” means your registered account for accessing and using the Services.

“Subscription” means your selected service plan and pricing tier.

“Effective Date” means the date you first accept these Terms or access the Services.

“Intellectual Property” means patents, copyrights, trademarks, trade secrets, and other proprietary rights.


3. Services Description

3.1 White Label Distribution & Channel Partners

Utility Server operates as a white label solution and may be distributed through authorized channel partners.

Distribution Models:

  1. Direct Sales: You purchase directly from DNS Stack Private Limited / Utility Server
  2. Channel Partner Sales: You purchase through our authorized channel partners (resellers, distributors, integrators)

Service Delivery: Regardless of purchase method, the Utility Server service is provided by DNS Stack Private Limited and subject to these Terms.

3.2 SPIDER Services

SPIDER provides prerendering and server-side rendering services for JavaScript-based websites, enabling search engine crawlers and bots to effectively index and understand your content.

RHINO provides edge caching solutions for HTML content, delivering optimized, cached pages from edge locations for improved performance.

MARLIN provides image optimization and CDN services, automatically optimizing images for different devices, formats, and quality settings.

3.5 Utility Client

Utility Client is a command-line tool for managing Utility Server services, including configuration, monitoring, and administration.

3.6 Service Evolution

Utility Server may add, modify, or discontinue Services or features at any time. We will provide reasonable notice for material changes affecting existing functionality.


4. Account Registration and Security

4.1 Account Creation

To use the Services, you must create an Account by providing:

5.1 Subscription Plans

Utility Server offers various subscription plans with different features, limits, and pricing:

SPIDER Plans: SPDR-FREE, SPDR-TARANTULA, SPDR-ORBWVR, SPDR-WOLF, SPDR-GOLDNSILK, SPDR-BLKWIDOW

RHINO Plans: RHN-FREE, RHN-BISON, RHN-BUFFALO, RHN-BEAST, RHN-TITAN, RHN-COLOSSUS

MARLIN Plans: MRLN-FREE, MRLN-BARRACUDA, MRLN-MAKO, MRLN-TUNA, MRLN-SAILFISH, MRLN-GIANTMARLIN

Detailed plan specifications, including render limits, hits, cache duration, and pricing, are available on our website and are incorporated into these Terms by reference.

5.2 Free Tier

Free tier services are provided “as-is” with:

Free tier accounts may be subject to additional usage restrictions to maintain service quality for all users.

5.3 Pricing Changes

Utility Server reserves the right to modify pricing with 30 days’ notice. Price changes will not affect your current billing cycle but will apply upon renewal. You may cancel your subscription if you do not agree to the new pricing.

All prices are stated in United States Dollars (USD) unless otherwise specified.


6. Usage Limits and Fair Use Policy

All payment processing is handled exclusively by our PCI-DSS compliant payment gateway partners:

You authorize our payment gateway partner to charge your provided payment method at the beginning of each billing cycle.

8. Service Level and Availability

8.1 Service Level Commitment

Utility Server commits to service availability targets as specified in our Service Level Agreement (SLA). SLA terms vary by subscription plan.

8.2 Maintenance

We reserve the right to perform:

8.3 Service Modifications

Utility Server may modify, suspend, or discontinue any aspect of the Services at any time. We will provide reasonable notice for material changes.

While we strive for high availability, we do not guarantee uninterrupted, error-free, or secure Services. See Section 16 for warranty disclaimers.


9. User Obligations and Prohibited Activities

10. Intellectual Property Rights

10.1 Utility Server IP

All Intellectual Property rights in the Services, including software, algorithms, designs, trademarks, and documentation, are owned by Utility Server or its licensors. These Terms do not grant you any ownership rights.

10.2 Limited License to You

Subject to these Terms, Utility Server grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.

10.3 User Content License

By submitting User Content to the Services, you grant Utility Server a worldwide, non-exclusive, royalty-free license to:

This license terminates when you remove Content or terminate your Account, except for cached or backup copies which may persist for a reasonable period.

10.4 User Content Ownership

You retain all ownership rights to your User Content. Utility Server does not claim ownership of Content you submit.

10.5 Trademarks

Utility Server trademarks, logos, and service marks (“Marks”) are property of Utility Server. You may not use our Marks without prior written permission.

10.6 Feedback

If you provide feedback, suggestions, or ideas about the Services, you grant Utility Server a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate such feedback without compensation or attribution.


11. Data and Privacy

11.1 Privacy Policy

Our collection, use, and protection of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Data Processing Consent: By using Utility Server services, you explicitly consent to:

14. Modifications to Services

Utility Server may modify Services at any time, including:

This Agreement begins on the Effective Date and continues until terminated by either party.

You may terminate at any time by:

Cancellation takes effect at the end of the current billing cycle. You remain responsible for charges through that date.

15.3 Termination by Utility Server

We may suspend or terminate your Account immediately if:

16. Warranties and Disclaimers

SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

UTILITY SERVER DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

Beta or experimental features are provided for testing purposes only and may:

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UTILITY SERVER’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF:

You agree to indemnify, defend, and hold harmless Utility Server, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising from or related to:

  1. Your use or misuse of the Services
  2. Your User Content
  3. Your violation of these Terms
  4. Your violation of any law or third-party right
  5. Any claim that your User Content caused damage to a third party
  6. Your negligence or willful misconduct

18.2 Defense and Settlement

Utility Server reserves the right to assume exclusive defense and control of any matter subject to indemnification. You will cooperate with our defense of such claims.

You must promptly notify Utility Server of any claim subject to indemnification.


19. Dispute Resolution

19.1 Informal Resolution

Before initiating formal dispute resolution, you agree to contact Utility Server at [email protected] to attempt informal resolution. We will work in good faith to resolve disputes amicably.

19.2 Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles. The courts of Kanpur, Uttar Pradesh, India shall have exclusive jurisdiction for any disputes arising under these Terms.

19.3 Arbitration

Any dispute arising from these Terms shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (India), except as otherwise provided herein.

For disputes not subject to arbitration, you consent to the exclusive jurisdiction of courts located in Mohali, SAS Nagar, Punjab, India.


20. General Provisions

20.1 Entire Agreement

These Terms, together with incorporated policies, constitute the entire agreement between you and Utility Server regarding the Services and supersede all prior agreements.

20.2 Assignment

You may not assign or transfer these Terms or your Account without our prior written consent. Utility Server may assign these Terms without restriction.

20.3 No Waiver

Failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it later.

20.4 Severability

If any provision is found unenforceable, the remaining provisions remain in full effect, and the unenforceable provision is modified to the minimum extent necessary to make it enforceable.

20.5 Force Majeure

Utility Server is not liable for delays or failures caused by events beyond our reasonable control, including:

You and Utility Server are independent contractors. These Terms do not create a partnership, joint venture, employment, or agency relationship.

20.8 Export Compliance

You agree to comply with all export and import laws and regulations. You represent that you are not located in, or a national of, any country subject to government embargo or designated as a “terrorist supporting” country.

20.9 Government Users

If you are a government entity, the Services are “Commercial Items” as defined in FAR 2.101, and use is governed by these Terms.

20.10 Language

These Terms are drafted in English. Any translations are provided for convenience only. In case of conflict, the English version controls.
